Purpose: these Terms govern access to and use of Valinko for all users (advertisers and publishers).
Acceptance: creating an account and using the platform means you accept these Terms.
Roles: (1) Advertiser orders services and provides a brief. (2) Publisher lists websites and delivers services.
Valinko: a technical intermediary providing tools (catalog, ordering, tracking, messaging, billing).
Account and security: you are responsible for your account and keeping credentials confidential. You must provide accurate information.
Suspension: in case of fraud, abuse, circumvention attempts or Terms violation, GLD may limit, suspend or close an account.
Orders: an order includes required elements (brief, URL, anchor, options). The advertiser warrants legality.
Acceptance: publishers may accept or refuse.
Publisher refusal: if refused, the advertiser is refunded under platform rules.
Timeframes: displayed timelines are indicative unless explicitly committed.
Proof and delivery: publishers provide a publication URL and verification when requested.
Payments: processed via providers (eg Stripe). Advertisers accept provider terms.
Billing and taxes: VAT/taxes may apply depending on country and status (B2B/B2C). Billing info must be accurate.
No wallet: unless stated otherwise, there is no user balance. Refunds, when due, are made to the original payment method.
Prohibited: illegal content, fraud, spam, malware, IP violations, deceptive requests.
Technical abuse: abusive scraping, attacks, bypassing protections, manipulating evidence.
Sanctions: content removal, order cancellation, account suspension/closure.
Disputes: parties must first use Valinko messaging.
Review: the platform may request evidence (URL, screenshots, brief elements).
Decision: the platform may decide refund, cancellation, or keep.
Abuse: abusive or fraudulent disputes may lead to account restrictions.
Account deletion: you can request deletion.
Legal retention: some data may be retained for legal obligations (billing, accounting) and dispute handling.
Governing law: French law. Jurisdiction: competent courts of Gardanne, unless mandatory rules apply.
